REPORTING ACCOUNTANTS

We are able to act as the reporting accountants for your company seeking listing on SGX-ST and work with our offices in Hong Kong, Australia, London and New York for your listing in the respective markets.

IPO ADVISORY SERVICES

1) PRE-EVALUATION AND FEASIBILITY STUDIES

IPO is a significant milestone for the company and its stakeholders.  We will work with you to assess the readiness of the company in going public.  This includes the readiness in terms of the business model, financial numbers requirements and having the mindset of a public company. 

2) PROJECT MANAGEMENT

We work with our network of sponsors, merchant bankers and issue managers to manage the rigorous time-table for the listing.  We also bring together a professional team from legal and sponsors, merchant bankers and issue managers to stock-brokers to form the team for the project.

3) VALUATIONS / PRICING

We work with the prospective Investors of the IPO project during valuations discussion and pricing for the IPO.

4) GROUP STRUCTURE 

In embarking in an IPO exercise, one of the key matter to address Is the group structure.  We will work with the sponsors and lawyers In addressing interested party transactions and conflict of interests, restructuring of the group of companies and shareholdings in order to optimise tax efficiency and facilitate dividend payments to shareholders.

5) ACCOUNTING

The accounting records of the company will need to meet the standards required of a public company.  We are able to advise you in making sure the accounting treatments of significant financial statements areas are in compliance with the relevant accounting standards.  In the event that you need financial reporting assistance, we are able to assist you whilst you are in the process of hiring your CFO for the IPO project.

6) INTERNAL CONTROLS AND GOVERNANCE

Going public also means stepping up in terms of Internal controls and governance of the organisation.  Our experienced team of Internal control and governance advisory will review your current internal controls and governance procedures and help you to navigate to comply with the listing requirements of the relevant jurisdictions and markets.
